Licence terms

1. The grant

On payment in full, Nxlogy Solutions Private Limited grants you a non-exclusive, non-transferable, revocable licence to install and use the software, subject to these terms. The licence is perpetual: it does not expire, and the software does not stop working when updates and support end. It stops only if the licence is revoked (section 8).

We retain all right, title and interest in the software, including its source code, design and trade marks. Nothing here transfers ownership of anything.

2. How many installations

Each licence covers the number of sites shown for its tier — one, for a single-site licence. Every installation counts: live, staging and local development alike.

The software runs only once your licence key has been activated on that installation — live, staging and local alike. An installation copied or moved to a new address needs activating there.

You may deploy a licence on a site you do not own — a client site, for example — provided it is used only on the sites it covers. To move a licence to another site, deactivate the old site from your account, or ask us for a reset if the old site is gone.

A multisite network, or a single installation serving many domains, is not one site. Talk to us about the right licence for that.

3. What you may do

• Install and use the software on the sites your licence covers.
• Modify it for your own use on those sites. We do not support modified copies, and a modification does not become ours to maintain.
• Install it for a client, and hand the site over — the licence stays with whoever holds the account it was bought under.
• Keep using every installed copy permanently, including after updates and support have lapsed.

4. What you may not do

• Redistribute the software — publishing it, sharing it, bundling it into a theme or product, or making it available for download, whether or not for payment, and whether or not you modified it first. This does not apply to a component we supply under a licence that expressly permits redistribution (section 5); it does apply to the product as we supply it, including its non-GPL assets, our trade marks, and its licensing and update components.
• Sell, resell, sublicense, assign or transfer your licence. Licences are non-transferable: a licence cannot be sold, assigned, or reassigned to another party, and it stays with the account that bought it.
• Share your licence key so that others can install the software without their own licence.
• Remove or alter licensing, attribution or identification in the files we supply, or circumvent licence or update checks.
• Use it to create a product that competes with it.

Each download we issue is individually identifiable and tied to the licence it was made for. Where a copy of our software turns up somewhere it should not be, we can trace it back to the account it was issued to.

5. What licence applies to what

Our WordPress plugins and themes. The PHP in them is licensed under the GNU General Public License, version 2 or later, because WordPress requires it, and those portions carry their GPL rights. Everything else shipped with them — images, stylesheets, JavaScript, fonts, translations, and the licensing and update components — is licensed only under these terms and is not GPL.

Our standalone applications, whether written in plain PHP, Laravel or any other stack. These are not WordPress software. No GPL obligation applies to them, and they are licensed to you only under these terms. Nothing in them becomes open source by virtue of the language it is written in.

Third-party components we bundle in any product keep their own licences, listed in each product. Where such a component is under a permissive licence — MIT, BSD, Apache — that licence covers that component alone and does not extend to our code.

6. Updates and support

Updates and support are included for the period stated on the product page, starting on the date of purchase. When that period ends:

• Every installed site keeps working, permanently. Nothing is deactivated or degraded.
• Every version released during your period stays available to download from your account.
• Versions released after it — security releases included — need a renewal. You are still told when one is available.
• Support needs a renewal.

Renewing restores updates and support. We are not obliged to produce any particular update, feature or release, and where a product has been retired, section 10 of our terms of service applies instead.

7. Licence verification

The software contacts our servers to confirm the licence is valid and to check for updates, sending the address of the site or server it is installed on, the licence key, and version information. That is described in the privacy policy. Activation needs to reach our servers once. After that, if they cannot be reached, the software keeps working.

8. Ending the licence

This licence ends immediately if you breach it — most obviously by redistributing the software. On ending, you must stop using it and remove it from every site. No refund is due, and sections 4, 9 and the limitation of liability in our terms of service survive.

A licence refunded under the refund policy is revoked when the refund is issued. The product is removed from your account, the key stops working, and you must remove the software from your sites.

When a licence is revoked — on a refund, a charge-back or a breach of this licence — the software switches itself off on each installation at its next daily check. Your settings and data are not touched.

9. Enforcement

Unauthorised redistribution is copyright infringement as well as a breach of this licence, and we pursue it. Because each download we issue is individually identifiable (section 4), we are usually able to identify the source. We do not publish how that works. We would much rather sell you the right licence than do any of that — if you are unsure whether what you want to do is permitted, ask us first.
